DATAKNITS IT SOLUTIONS PRIVATE LIMITED — TERMS OF SERVICE & USER AGREEMENT
Operating Entity: Dataknits IT Solutions Private Limited ("Company", "We", "Us", or "Our")
Applicability: This Agreement governs your creation of an account, sign-up, and subsequent use of our ETL (Extract, Transform, Load) software platforms, connectors, and data integration services (collectively, the "Platform").

By checking the "I Agree" box or completing the sign-up process, you represent that you have the authority to bind the registering entity ("Customer", "User", or "You") to this contract. If you do not agree, you must immediately halt the sign-up process.

1. Legal Compliance & Declarations

Age & Capacity: You declare that you are at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872.

Corporate Authority: If signing up on behalf of a company, LL.P., or partnership, you warrant that you possess the necessary authorization to bind your organization to these terms.

2. Digital Personal Data Protection (DPDP) Compliance

As a business handling data pipelines in India, both parties explicitly agree to adhere to the Digital Personal Data Protection (DPDP) Act, 2023:

• Role Designation: The Customer acts as the Data Fiduciary determining the source and purpose of the data pipelines. The Company acts strictly as a Data Processor, handling data solely upon the digital instructions of the Customer.
• Consent & Notice: By signing up, you provide explicit, clear, and unambiguous consent for the collection and processing of account setup details (Name, Corporate Email, Billing Address, GSTIN, and Phone Number) required to deliver the ETL services.
• Data Minimization & Erasure: The Company shall only process transient data necessary to run your ETL workflows. All raw customer data extracted from source connectors will be purged immediately upon successful load into the target destination.
• Grievance Redressal: In compliance with Indian data laws, a dedicated Grievance Officer has been appointed. You can report data concerns to grievance.officer@dataknits.com.

3. Account Rules and Intermediary Due Diligence

In accordance with the Information Technology (Intermediary Guidelines) Rules, you agree not to use the Platform's computer resources to host, display, upload, transform, or transmit any data that:

• Belongs to another person without explicit legal authorization.
• Is defamatory, obscene, invasive of privacy, or racially/ethnically objectionable.
• Infringes upon any patent, trademark, copyright, or proprietary rights.
• Violates any law for the time being in force in India.

Synthetic/AI Data Regulation: If using the Platform to process or transform Synthetically Generated Information (SGI) or AI-generated media, you must ensure it contains permanent metadata/labels declaring its synthetic nature, in strict compliance with the IT Amendment Rules.

4. Fees, Invoicing, and GST Compliance

Taxation: All fees published on our sign-up pricing page are exclusive of taxes.

GSTIN: A tax invoice including an 18% Goods and Services Tax (GST) will be raised for Indian accounts. To claim Input Tax Credit (ITC), the Customer must provide a valid Indian GSTIN during registration or billing configuration.

Suspension: Payment defaults extending beyond 15 days from the invoice date will result in the automated suspension of data pipelines.

5. Infrastructure & Data Localization

Local Hosting: To comply with financial, health, and national data routing standards in India, all platform infrastructures, staging servers, and metadata engines are hosted securely within MeitY-approved cloud data zones (e.g., AWS Mumbai / Azure India West).

Security Standards: We maintain rigorous electronic safeguards, firewalls, and encryption protocols (AES-256 for data-at-rest and TLS 1.3 for data-in-transit).

6. Limitation of Liability

Pipeline Errors: The Company provides an automated infrastructure framework. The Company is not responsible for data loss, data corruption, or target database crashes stemming from broken source APIs, incorrect user SQL/Python mapping scripts, or configuration mistakes made inside your account dashboard.

Liability Cap: The cumulative financial liability of Dataknits IT Solutions Private Limited to any User for any breach, negligence, or statutory non-compliance shall be legally capped at the total subscription amounts paid by the User to the Company in the three (3) months immediately preceding the event that caused the claim.

7. Breach Notification & Incident Reporting

Reporting Timeline: In the event of a critical infrastructure or cybersecurity incident, the Company will notify the Data Protection Board of India (DPBI) and all impacted Users within 72 hours of breach confirmation, as mandated by the DPDP Rules.

Platform Security: Users must report any compromised API keys or rogue platform activities inside their accounts immediately via security@dataknits.com.

8. Governing Law & Jurisdiction

Governing Law: This agreement is governed solely by the federal and state laws of the Republic of India.

Exclusive Jurisdiction: Any legal suits, petitions, or judicial proceedings arising from this contract shall be filed exclusively before the courts of law situated in Bengaluru, Karnataka, India.

Arbitration: Any unresolved dispute shall be referred to a sole arbitrator appointed mutually by both parties. Arbitration will be conducted in English under the provisions of the Arbitration and Conciliation Act, 1996.

9. License Agreement — Grant & Permitted Use

Subject to your compliance with these Terms, DataKnits grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for your internal business data integration purposes
• Use compiled pipeline scripts generated by the Platform on your own infrastructure
• Download and self-host the Community (open-core) edition in accordance with its open-source license

This license does not permit you to resell, sublicense, or distribute the Platform or compiled outputs as a competing service. The DataKnits visual builder, its user interface, brand assets, logos, and underlying compilation engines are the exclusive intellectual property of Dataknits IT Solutions Private Limited and are protected by copyright, trademark, and trade secret laws. Pipeline scripts compiled and outputted by the Platform from your visual designs are owned by you.
